SEDAR SUBSCRIBER UPDATE

SEDAR Release 3.0

Release 3.0 of the SEDAR software will be implemented effective Monday, October 6, 1997. In order to access the SEDAR server on Monday, October 6, you must first install the new software. This software, along with a revised Filer User Guide, is being sent to all SEDAR subscribers this week to ensure that you have ample time to review the new documentation and will be ready to install the software. Please note that you should not install the new software prior to October 6, as we will not load the server component until the weekend of October 4-5.

New Functionality Summary

The addition of the Market Centres as recipient agencies

  1. When filing a 'Continuous Disclosure' project, you will now be able to file this project to the Commissions and the Market Centres with the same project number.
  2. When filing a project under any other category of filing, you must file with either the Commissions or the Market Centres (Vancouver Stock Exchange, Alberta Stock Exchange, Toronto Stock Exchange, Montreal Exchange, Canadian Dealing Network, Winnipeg Stock Exchange).

Anti-Virus capability for the Sedar client

An anti-virus program, containing signature files, will be called to detect if the specified file contains a virus during submission of documents to the server. The user will be informed if there is a virus and asked if they wish to disinfect the file. The user will have the option to review the disinfected file prior to re-submission to the SEDAR server.

Removal and Addition of Document Types

  1. Removal of the document type of 'Notice of meeting and record date' from the filing type of 'Management Proxy Materials' for both Mutual Fund Issuers and Other Issuers under the category of filing of Continuous Disclosure.
  2. Addition of a filing type of 'Notice of Meeting and Record Date' for both Mutual Fund Issuers and Other Issuers under the category of filing of Continuous Disclosure.
  3. Addition of the document type of 'Blacklined final prospectus' for filing types of Short Form Prospectus, Short Form Prospectus - Shelf (NPS 44), Prospectus - MJDS (NPS 45), Long Form Prospectus, Prospectus (BC LPS 3-02 Summary Prospectus System), Exchange Offering Prospectus (BC LPS 3-02 Summary Prospectus System) for Other Issuers and Simplified Prospectus and Annual Information Form (NPS 36), Long Form Prospectus for Mutual Fund Issuers.

Changes to Regulators' Fee Descriptions

For the fee lists of the commissions in British Columbia, Prince Edward Island and Nova Scotia

New Mandatory Profile Fields

For the profiles of Other Issuers, a new mandatory field entitled 'Pop Issuer?' has been added. All of the current profiles for Other Issuers will be propagated with the status of No. It is the responsibility of the issuer to update their profile to the correct status.

New Mandatory Field for Offering Documents

For Securities Offering Document projects by Other Issuers, a new mandatory field entitled 'Expedited Review (NPS 47)' has been added. It will be set to the default of 'No'.

Required Preparation for Release 3.0

As a result of the installation of Release 3.0 software, your local databases will be deleted for the following modules:

  • Filing Management
  • Profile Management
  • Search Filings
  • Search Profiles

The information contained in these databases may be retrieved only if it has been submitted to the SEDAR server prior to the installation of SEDAR Release 3.0. The following steps should be taken on Friday, October 3 to ensure that the information has been submitted to the SEDAR server.

Filing Management

To ensure that all projects in the Filing Management have been submitted to the SEDAR server:

  1. Print the project list from the Filing Management main window
  2. Verify that all existing filings have been successfully submitted (i.e. permanent project and submission numbers, date and time stamp)

After SEDAR Release 3.0 is installed, to retrieve your filings, perform a "Refresh List".

Profile Management

To ensure that all profiles in Profile Management have been submitted to the SEDAR server:

  1. Print the profile list from Profile Management
  2. Verify that all existing profiles have been submitted to the SEDAR server (i.e. permanent profile number, date and time stamp)

Once SEDAR Release 3.0 is installed, to retrieve your profiles, perform the following:

  1. In Search Profiles, select New Inquiry.
  2. The Inquiry Name field and Description field are both text boxes. Both of these fields need to have information entered into them. A suggestion would to enter your company name (up to eight letters) in the Inquiry field and 'Bringing back profiles' in the Description field.
  3. Then select from 'List of Fields to Search on', Profile Number. The Operator options will appear and select '='. Click in the Criteria box, and type in your company profile number(s), excluding all of the starting zeros. If you have multiple profiles to retrieve, separate each profile number with a semicolon. An example would be '123;456;789'.
  4. Click on Add and View.
  5. Now the Submit button will be available and you may submit your search.
  6. Once the search is completed, you will be in the Search Profiles screen. Your search will have a date under the column of 'Status/Date Last Submitted'.
  7. Highlight the search, and click on 'Open Report'.
  8. In the top left section of this screen, under 'Report Name' and 'Report Date', highlight the report.
  9. The profile(s) which you searched for will appear under 'List of Profiles in Selected Report'. Highlight the profile and click on Open Profile.
  10. Once the profile is open, you click on Transfer. This will transfer the profile to your local database and allow you to file on behalf of this company.

Helpful Hints

If you have installed SEDAR on multiple PC's, you can avoid having to search and download the profiles on each of those PC's by performing the following steps:

  1. Install R3.0 on each of the PC's.
  2. Search and transfer those profiles of interest on one of the PC's using the steps outlined above.
  3. Make a copy of the cfissuer.mdb file found in the sedar\bin directory of that PC.
  4. Copy that file into the sedar\bin directory on all of the other PCS, overwriting the existing cfissuer.mdb file.

This will populate the profiles database on those other PC's with the same list of profiles as on the first PC.

You can also avoid having to retrieve all your submitted filings by performing the following steps:

  1. Install R3.0 on each of the PCS.
  2. Perform a refresh list in Filing Management using a customized inquiry in one P/C.
  3. Make a copy the cffiling.mdb file found in the sedar\bin directory of that PC.
  4. Copy that file into the sedar\bin directory on all of the other PCS, overwriting the existing cffiling.mdb file.

This will populate the filings database on those other PC's with the same list of filings as on the first PC.
